DIGITAL PHOTO LICENSE AGREEMENT

This License Agreement (“Agreement”) is entered into between Le Pit Club LLC (“Licensor”) and  the purchaser (“Licensee”) of the digital photograph(s) (“Asset”) from https://lepitclub.com and https://www.eastbayf1.com websites.

1. Grant of License

The Asset is the property of the Licensor and is copyrighted by law.

The Asset shall not be copied, published, or used in any way except as provided for in this Agreement.

The Licensor reserves the right to use the Asset on the Licensor’s website and for the Licensor’s own marketing or advertising purposes.

Licensor grants Licensee a non-exclusive, worldwide, perpetual license to use the Asset in accordance with the terms of this Agreement.

2. Permitted Uses

The Licensee shall only use the Asset in accordance with this Agreement.

The Licensee shall use the Asset for personal, non-commercial use only, and subject to the restrictions on use set out in this Agreement for the duration of the License Term.

The Licensee may share the Asset to its social media platforms so long as the Asset is unaltered and includes a direct link to the Seller’s website or credit to the Licensor.

3. Restrictions

Licensee shall not:

• Claim ownership of the Asset.
• Resell, sub-license, or redistribute the Asset ‘as-is’ or in any form that allows the third parties to download it separately.
• Use the Asset in defamatory, pornographic, hateful, or unlawful content.
• Use the Asset in a manner suggesting endorsement by depicted persons, brands, or properties without proper consent.
• Use the Asset in logo trademarks without explicit written permission from Licensor.
• Remove, obscure, or alter any copyright, watermark, or proprietary notice included with the Asset.
• Use the Asset in a commercial manner to earn money, for marketing or advertising purposes, or in a trademark, except as provided for in this Agreement.
• Allow others to use the Asset.
• Use the Asset in a way that allows others to download or redistribute the Asset except in accordance with this Agreement.

4. Intellectual Property

The Asset remains the sole property of the Licensor. Licensee acquires only the rights expressly granted herein. All other rights are reserved. Licensor retains copyright and moral rights to the Asset.

5. Indemnification

Licensee agrees to indemnify, defend, and hold Licensor harmless against any claims, damages, or expenses (including legal fees) arising from Licensee’s misuse of the Asset or violation of this Agreement.

6. Termination

This Agreement and the License granted herein automatically terminate upon Licensee’s breach of these terms. Upon termination, Licensee must immediately cease use of the Asset and destroy all copies.

7. Governing Law

This Agreement shall be governed by the laws of California, the United States of America.

To protect the rights of the photographer, the following provisions also apply:
